  1. Summary

    1. Please read these Terms and Conditions of Use ("Terms") carefully. IP1 Ltd, trading as In Practise (herein referred to as "IP") is a company registered in England and Wales, and owns and operates this website ("Site"). By registering for, logging into, visiting and/or otherwise using the Site in any way, you indicate that you understand and intend these Terms to be the legal equivalent of a signed, written contract, and you accept the Terms as set forth herein and agree to be legally bound by them. If you do not agree to these Terms, please do not access this website or any pages thereof.

  2. For Education Purposes Only

    1. The information provided by IP on this Site is done so for the purposes of education, and shall not be construed or relied upon as any form of advice, guidance or recommendations to take, or not to take, any actions or decisions in relation to any matter, including in relation to investments or the purchase or sale of any securities, shares or other assets of any kind. IP is not authorised to give advice professionally, whether legal, financial, employment, or otherwise.

    2. Information provided by IP is to be used as an educational tool, and is not designed for or directed towards any investor or category of investors, whether identified as individual or ‘Professional’ as per terminology contained in MiFID or equivalent regulations, or otherwise. Nothing on this Site shall be construed as an offer, recommendation or solicitation regarding any financial product, service or management of investments or securities.

  3. Subject to Change

    1. Any information or opinions expressed on this Site do not necessarily express the views or opinions of IP, their owners, investors, or personnel, and are subject to change or modification at any time without warning.

    2. Whilst IP make all reasonable endeavours to keep the content contained on this Site timely and up-to-date, IP make no warranties, representations or guarantees, whether express or implied, that the content is accurate, complete or up-to-date.

    3. IP does not warrant that functionality of this Site will run uninterrupted or error-free, nor that any defects will be corrected, and assumes no responsibility for any damage caused to any party by viruses or any other components that are present on servers that make this Site available.

    4. This Site may, for your convenience, contain links to websites outside of the control of IP ("External Sites"). External Sites have not been verified or reviewed by IP and all use and access of External Sites is made at your own risk. IP does not accept any responsibility for any views or opinions held on those External Sites.

    5. IP provides and maintains the Site on an "as is" and "as available" basis. IP gives no other warranty in connection with the Site, User Communication or any External Sites. To the maximum extent permitted by law, IP excludes liability for:

      1. any loss or damage of any kind howsoever arising, including any direct, indirect, special, punitive or consequential loss whether or not that loss arises out of something of which IP has been made aware;

      2. the accuracy, currency or validity of information and material contained within any User Communication or the Site;

      3. any interruptions to or delays in updating the Site;

      4. any incorrect or inaccurate information on the Site;

      5. the infringement by any other person of any copyright or other intellectual property rights of any third party through any User Communication or use of the Site;

      6. the availability, quality, content or nature of External Sites;

      7. any transaction taking place on External Sites;

      8. any transaction with any third party retailer taking place on the Site;

      9. any amount or kind of loss or damage due to viruses or other malicious software that may infect a user’s computer equipment, software, data or other property caused by any other person accessing, using or downloading the Site or any part of it, or any User Communication; and

      10. all representations, warranties, conditions and other terms and conditions which but for this notice would have effect including without limitation any implied warranty of satisfactory quality or fitness for purpose.

    6. This Site, and any applications on any device providing access to the same content by IP, are in beta testing mode. As such, these Terms may require amendment or modification at any time, and IP reserves the right to do so. By continuing to use this Site following reasonable notice of any such amendments or modifications, you will be deemed as having accepted any changes to these Terms. You agree that notice of changes to this Site is deemed reasonable notice when posted on this Site. If any modified terms or policies are unacceptable to you at any time past your agreement to these Terms, your sole remedy is to cease becoming a user of IP, its website or its content.

    7. When you become a user of this Site, IP are granting you a revocable, limited, personal, non-exclusive, non-transferable, non-sublicensable licence to access the content contained therein. IP reserve the right to revoke your licence to the content contained in this Site at its sole discretion.

    8. You shall not:

      1. hack, modify, reverse engineer or create derivative works of the Site or any part of it;

      2. use the Site in any way or take any action that causes, or may cause, damage to the Site or impairment of the performance, availability or accessibility of the Site;

      3. use our Site in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;

      4. use, reproduce, copy, modify, distribute, post, store, publish, frame, deep link, scrape, datamine, or use any contents contained on this Site, in whole or in part, including but not limited to any software code, interface design, logo, written copy, video or audio content, without the prior written permission of IP;

      5. remove, modify or obscure any copyright, trade mark or other proprietary notices on the Site;

      6. create software which replicates or mimics the data or functionality in the Site; or

      7. attempt to do any of the acts listed above.

  4. Copyright and Intellectual Property

    1. Unless otherwise specified, all copyright, design rights, database rights, patent rights, trade mark and trade dress rights and other intellectual property rights and proprietary rights in and to this Site is owned by or licensed to IP, who are also the sole owners, licensees, or who otherwise have the sole permission to use, all content contained therein, the intellectual property rights of which are hereby fully reserved by IP, who also reserves the right to enforce them to the full extent applicable under any copyright or trademark law. Any printing, downloading, publishing or other copying of any material from this Site does not transfer title to any software or material to you, or to any other party.

    2. IP reserves the right to assign any rights or obligations under these Terms to any third party, including but not limited to parties taking responsibility for operating this Site.

    3. If you believe that any content is made available on this Site in such a way that is offending, inappropriate, or inaccurate or that constitutes copyright infringement, please contact us at with the following information as applicable to your request:

      1. a statement by you explaining which content is offending, inappropriate, or inaccurate and why;

      2. an electronic or physical signature of the person authorised to act on behalf of the owner of the copyright protected content;

      3. a description of the copyrighted protected content that you believe has been infringed upon;

      4. a full description of where on the Site this content can be found (including the relevant URL);

      5. your address, telephone number, and e-mail address;

      6. a statement by you that in your reasonable belief the use of the content is not authorised by the copyright owner, its agent, or the law; and

      7. a statement by you that the information contained in this notice, and any other information we may reasonably require from you in order to enable us to resolve the issue of copyright infringement (whether actual or alleged) is accurate and that you are either the copyright owner or authorised to act on the copyright owner’s behalf.

    4. We shall use our reasonable endeavours to review your request and take, in our sole discretion, appropriate action with respect to such content.

  5. User Communications

    1. The Site may enable the display of your own or third party content ("User Communication") without review or moderation. The Site is therefore merely a conduit of User Communication.

    2. The views expressed in any User Communication are the views of the individual authors and not those of IP unless specified otherwise by IP.

    3. We disclaim all liability in respect of any comments, views or remarks expressed in any User Communication.

    4. By using the Site you acknowledge that IP has no responsibility to review the content of any User Communication and that all User Communication is made available on the basis that IP is not required to exercise any control or judgement over User Communication.

    5. If you submit data, messages, audio, video, textual or other content through the Site such as through a discussion forum, comments on a blog post, or otherwise then:

      1. you grant us a sub-licensable, perpetual, irrevocable, non-exclusive licence to use and make available any User Communication which you submit, worldwide in connection with the Site; and

      2. you agree to comply with our acceptable use policies as made available on the Site from time to time.

    6. It is a known risk of internet usage that people are not necessarily who they say they are. People may provide information or behave in a way that is unreliable, misleading, unlawful or illegal. IP has no way of telling if statements made by other users are true. You should therefore exercise some degree of caution when using any website. By using the Site you accept that you use the Site at your own risk.

  6. Privacy and Cookies

    1. Our Privacy and Cookies Policy sets out how we use personal data relating to you and can be found.

  7. Password Security and Notification

    1. Certain areas, materials or information contained on this Site are protected, and users may only access them in the event that they have entered a username and password that has been authorised for such use by IP. By entering an authorised username and password to this Site, you are representing and warranting that you are the individual which first submitted the username and password for authorisation by IP. If you have been authorised a username and password for access to the aforementioned areas, materials or information, you are solely responsible for all user activities that occur whilst that username and password have been used to access those aforementioned areas, materials or information, and should therefore keep the details of them confidential. You are responsible for notifying IP immediately should you become aware of any disclosure, loss, theft or unauthorised use of your username and/or password. IP hereby reserve the right to relinquish the authorisation provided to any username or password at any time.

    2. Neither IP, nor its directors, employees, affiliates or content providers, nor any third party vendor, will be liable for any damages arising out of you being able or unable to access the Site for reasons outside of the control of IP.

  8. Core Access

    1. IP offer access to certain areas, materials or information contained on this Site to users who agree to pay a monthly subscription ("Core Access"). In order to have Core Access, you will need to register. You will need to submit personal information and choose an account username ("Username") and password ("Password") and a valid email address for your account ("Account").

      1. You cannot use a group email address for your Account. You must use your individual email address in order to register for an Account and use the Core Access that you are provided.

      2. Your Username and Password are personal to you and must not be disclosed to any other person.

      3. We are entitled to assume that any use of your Account is made by you. You are solely responsible and liable for any use of Core Access under your Account or any other use of your Username and Password.

      4. You may only hold one Account. If you forget your Username or Password, you can use the password recovery option or contact us as we will provide a replacement password.

      5. Do not share your Password with any other person or allow any other person to use your Account. We are not liable for any improper use of your Password or Account or any use by any other person. If you think any other person knows your Password, or your Account has been used by any other person, you must inform us immediately.

      6. If you do not log into your Account for 12 months, we may terminate the Account without further liability to you.

      7. You agree not to:

        1. impersonate any other person or entity;

        2. falsely describe or otherwise misrepresent yourself;

        3. falsely describe your affiliation with another person or entity;

        4. use or attempt to use another’s account.

    2. In order to avail Core Access, you agree to pay IP all applicable fees and taxes as per the relevant additional terms specific to the Core Access that you are provided. Should these fees and taxes not be paid, IP reserves the right to terminate your Core Access and/or access to the whole Site.

    3. In order for IP to ensure that you honour your payment obligations for Core Access, you agree to permit IP, or any third party that IP uses for the facilitation of payment, to store your payment information, including any expired payment method used at any time.

    4. You understand that any purchase made on the Site may be subject to foreign exchange fees or a differentiation in prices, as well as applicable taxes payable as per the billing information provided at the time of purchase.

    5. You understand that your chosen payment method will automatically be charged at the start of each subscription period.

    6. You understand that refunds are subject to our refund policy applicable to the specific Core Access that you have been provided.

  9. Your Warranties

    1. You warrant and represent that you are of a legal age in your jurisdiction to form a binding contract, but in any event at least sixteen (16) years old. Children under the age of sixteen (16) are not permitted to access or use the Site. If you are between sixteen (16) and eighteen (18) years old, you must review these Terms with your parent or guardian, have him/her accept it on your behalf, as well as approve your use of the Website.

    2. You represent and warrant to IP that you will not use this Site for any unlawful purpose, including but not limited to attempting or successfully (i) collecting information about other users, (ii) ‘scraping’ or systematically extracting content or other information from this Site for use on other databases or websites, or (iii) interfering with the operations and functional integrity of the Site including any security systems used by the Site.

    3. You represent and warrant to IP that you will not place or submit on this Site (i) any information or material which is deemed illegal, abusive, defamatory, threatening, discriminatory, or obscene, (ii) any material or information inciting any party to act in a manner that can be construed as a criminal offence under any laws, (iii) any material or information that infringed the rights of IP or any third party, (iv) any viruses, worms, logic bombs, trojans, or other harmful material; or (iii) any other thing that interferes with the safe operation or the content of this Site.

  10. Termination

    1. Without limiting any other rights it may have, we may cancel or suspend access to the Site if you breach any of these Terms.

  11. Jurisdiction

    1. These terms of use are subject to your statutory and common law consumer rights and will not limit any rights you might have that cannot be excluded under applicable law. These terms of use will not exclude or limit IP’s liability for death or personal injury resulting from its negligence nor any fraudulent acts or representations.

    2. The laws of England and Wales shall apply to these Terms, and to the agreement formed by you and IP, without regard to any conflict of law provisions. Any legal action taken as per these Terms are to be taken in the High Court of England and Wales and the parties submit to the exclusive jurisdiction of the High Court of England and Wales.

  12. Waiver

    1. Any decision by IP not to exercise any rights afforded to them by these Terms does not equate to a waiver of their right to it, or any other right or remedy.

  13. Severability

    1. In the event that any of the terms or provisions of these Terms are held unenforceable, the validity or enforceability of the offending term of provision shall be severed from the rest and replaced with a non-offending term of provision, and shall not affect the validity or enforceability of the remainder of this page.

  14. Entire Agreement

    1. These Terms and the terms referred to herein constitute the entire agreement between you and IP relating to your use of the Site, to the exclusion of any other terms.

  15. Third Party

    1. These Terms do not confer any rights on any person or party (other than the parties to these Terms and (where applicable) their successors and permitted assigns) pursuant to the Contracts (Rights of Third Parties) Act 1999.

  16. Assignment

    1. You will not assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under these Terms, without the prior written consent of IP.

  17. Public Securities Disclosure

    1. In Practise employees and related persons may hold positions or other interests in the securities covered herein.
